Morgan Securities LLC, Goldman, Sachs & Co. and Merrill Lynch, Pierce, Fenner & Smith Incorporated served as joint book-running managers for the offering. The Subordinated Debentures received partial equity credit according to the rating agencies’ hybrid methodology.
