Bracewell Represents Kinder Morgan, Inc. in $6.2 Billion Pipeline Sale

Bracewell & Giuliani LLP is representing Kinder Morgan, Inc. (KMI) in the sale of 100 percent of Tennessee Gas Pipeline (TGP) and a 50 percent interest in El Paso Natural Gas (EPNG) pipeline to Kinder Morgan Energy Partners, L.P. (KMP) for approximately $6.22 billion. The total includes about $1.8 billion in assumed debt at TGP and approximately $560 million of proportional debt at EPNG.

Davis Polk Advises Texas Instruments on $1.5 Billion Notes Offering

Davis Polk advised Texas Instruments Incorporated on its SEC-registered debt offering of $1.5 billion aggregate principal amount of notes, consisting of $750 million of 0.45% notes due 2015 and $750 million of 1.65% notes due 2019. The offering was made through an underwriting syndicate led by Citigroup Global Markets Inc., J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC.
