The Firm is representing Riverstone Holdings LLC (Riverstone) in connection with the acquisition financing relating to the definitive agreement pursuant to which an affiliate of Riverstone has agreed to acquire Utex Industries, Inc. (Utex) from investment funds affiliated with Rhône Capital L.L.C. (Rhone). Terms of the transaction were not disclosed. The transaction is subject to certain regulatory approvals and is expected to close in April 2013.
