Shearman & Sterling advised Jefferies Finance LLC, as administrative agent, collateral agent, sole lead arranger and sole lead bookrunner, in connection with a $360 million financing, comprised of a $250 million first lien financing and $110 million second lien financing, related to the acquisition of SESAC Holdings, Inc. by Rizvi Traverse Management.

Simpson Thacher Represents Issuer in Inaugural Global Equity Offering by Second Largest Mexican Beverage Company

The Firm recently represented Organización Cultiba, S.A.B. de C.V., in connection with its inaugural global offering of 98,004,889 common shares. The shares were offered to the public in Mexico, to qualified institutional buyers in the United States in reliance on Rule 144A and to non-U.S. persons elsewhere in reliance on Regulation S. The global offering, which included a secondary offering by certain of Cultiba’s shareholders, raised approximately US$270 million in gross proceeds. Cultiba’s common shares are listed on the Mexican Stock Exchange.

Simpson Thacher Represents Merrill Lynch and Other Underwriters in Denbury Resources Inc.’s $1.2 Billion Senior Subordinated Notes Offering, Related Tender Offer and Consent Solicitation

The Firm represented the underwriters, led by Merrill Lynch, Pierce, Fenner & Smith Incorporated, in connection with the registered public offering by Denbury Resources Inc. (“Denbury”) of $1.2 billion aggregate principal amount of its 4 5/8% Senior Subordinated Notes due 2023. The net proceeds were used to fund a cash tender offer for all of Denbury’s outstanding 9½% Senior Subordinated Notes due 2016 and 9¾% Senior Subordinated Notes due 2016, to repay borrowings under Denbury’s bank credit facility and for general corporate purposes.
