Olswang Secures the Sale of Goviral to AOL Europe

Olswang announces that it has advised the selling shareholders on the sale of goviral to AOL Europe. Established in 2005, goviral is a video distribution network that delivers branded content over the internet for some of the world’s largest and most esteemed brands, media agencies creative agencies and content producers. The transaction was completed for $74.1 million in cash with an additional $22.6 million of consideration being paid over two years following completion.

CMS Advises Largest Dental Corporate Group in UK

CMS Cameron McKenna LLP is pleased to have advised longstanding client Integrated Dental Holdings Limited (“IDH”) on its merger with with Associated Dental Practices (“ADP”) in a deal worth some £450 million. The Carlyle Group (“Carlyle”)  will hold a majority stake in the newly combined entity and Palamon will share joint governance.  The proposed merger of IDH and ADP is subject to the relevant regulatory approvals.

Attorney Barry B. Sutton Joins Clark Hill PLC, Detroit

Simpson Thacher Represents Underwriters in Initial Public Offering by Demand Media

Simpson Thacher represented the underwriters, led by Goldman, Sachs & Co. and Morgan Stanley & Co. Incorporated in connection with the underwriting of the initial public offering of 10,235,000 shares of common stock of Demand Media, Inc., which includes the shares that were sold pursuant to the over-allotment option exercised by the underwriters, resulting in aggregate gross proceeds of $174 million.  The Demand Media offering represents the largest initial public offering by an internet company since Google went public in 2004.  Demand Media, Inc. is a leader in a new Internet-based model for the professional creation of high-quality, commercially viable content at scale.  Demand Media’s shares are listed on the New York Stock Exchange under the symbol “DMD.”
