Former SEC Attorney Mike Johnson Joins Nelson Mullins’ Corporate and Securities Group

Former Securities and Exchange Commission attorney Michael F. Johnson has joined Nelson Mullins Riley & Scarborough LLP’s Corporate, Securities, and Tax Group based in the Greenville office and is an of counsel to the Firm. A former attorney in the SEC’s Division of Corporation Finance, Mr. Johnson will counsel Nelson Mullins’ corporate clients on compliance with securities regulations, including the Securities Act of 1933, Securities Exchange Act of 1934, and the Sarbanes-Oxley Act of 2002. His practice encompasses public and private finance, corporate contracts, corporate governance, mergers and acquisitions, securities compliance and regulation, and management and shareholder matters.

Arnold & Porter Represents Schwab in $350 Million Offering

Arnold & Porter LLP represented The Charles Schwab Corporation in a $350 million senior notes offering. The senior notes were offered at 0.850% and are due in 2015. The deal was launched on December 3, 2012 and closed on December 6, 2012. This marks the fourth securities deal that Arnold & Porter’s corporate team has done for Schwab in 2012. Schwab’s relationship with the firm dates back to the company’s first IPO in 1987. The firm (first as Howard Rice, now as Arnold & Porter) has advised Schwab on a wide range of securities matters, including the $3.3 billion capital restructuring in 2007 and over $3.3 billion in securities transactions since then.
