(“MEG”) of 12,125,000 common shares. The common shares were offered in the United States to qualified institutional buyers under Rule 144A and outside the United States to non U.S. persons in accordance with Regulation S. MEG intends to use the net proceeds from the offering to partially fund its capital expenditure program and for other ongoing working capital and general corporate purposes.
