On December 16, 2013, AerCap Holdings N.V. (“AerCap”) announced that it has entered into a definitive agreement with American International Group, Inc. (“AIG”) under which AerCap will acquire 100% of the common stock of International Lease Finance Corporation (“ILFC”), a wholly owned subsidiary of AIG. Cravath represented AerCap in connection with this transaction. Under the terms of the agreement, AIG will receive US$3.0 billion in cash and 97,560,976 AerCap shares, representing a value of approximately US$5.4 billion based on AerCap’s closing price per share of $24.93 on December 13, 2013. On December 16, 2013, KKR & Co. L.P. (“KKR”) and KKR Financial Holdings LLC (“KFN”) announced the signing of a definitive merger agreement under which KKR will acquire KFN through a stock‑for‑stock merger that values KFN at US$2.6 billion. Cravath represented the independent directors of KKR in connection with this transaction. The transaction is subject to approval by KFN’s shareholders, as well as customary regulatory approvals and other customary closing conditions. Upon closing of the transaction, which is expected in the first half of 2014, KFN will become a subsidiary of KKR.

Simpson Thacher represented APX Group, Inc. (“Vivint”), a Blackstone portfolio company, in connection with its Rule 144A and Regulation S offering of $250 million aggregate principal amount of its 8.75% Senior Notes due 2020. The notes were issued as additional 8.75% Senior Notes due 2020 under the indenture dated as of November 16, 2012. Vivint used the proceeds from the offering for general corporate purposes.
