Gide advises KGHM Polska Miedź on financing worth USD 2.5 billion

Gide’s Warsaw and London offices have successfully completed another project for KGHM Polska Miedź. The largest Polish mining company officially announced an investment loan agreement for USD 2.5 billion for general corporate purposes which was signed on 11 July 2014. This is one of the most significant transactions of its type carried out in Europe this year. The agreement was concluded with a consortium of Polish and international banks, including Crédit Agricole Corporate and Investment Bank, Crédit Agricole Bank Polska, Bank Zachodni WBK, Santander Bank, Bank Polska Kasa Opieki, Bank Handlowy w Warszawie and Powszechna Kasa Oszczędności Bank Polski.

Gide advised the company on the legal aspects of seeking funding and supported KGHM in negotiating loan terms and conditions. Dariusz Tokarczuk and Paweł Grześkowiak were the partners responsible for the project on Gide’s side, assisted by Marta Karmińska and supported by lawyers from Gide London: partner Dimitrios Logizidis and Sarah Whitley. Advice for KGHM was provided in co-operation with an independent financial adviser – Rothschild.
The project continues the co-operation between KGHM Polska Miedź and Gide, which has provided legal services for the most important transactions carried out by the company in recent years, such as the acquisition of all the shares in the Canadian mining company Quadra FNX Mining Ltd. and the sale of shares in the mobile operator Polkomtel.
