Successful applicants will:  (1) be fluent in Mandarin with good English drafting and speaking skills, (2) have extensive experience with 34 Act continuous reporting requirements and be 100% comfortable working directly with clients to draft and revise 10-Ks, 10-Qs, 8-Ks, 20-Fs, proxy statements and similar SEC reports, (3) have extensive experience with initial public offerings, private placements, registered secondary offerings, and initial and subsequent stock exchange listing applications, (4) be 100% comfortable working directly with issuers, underwriters and placement agents to draft public offering prospectuses, private placement memoranda, and underwriting agreements, (5) be able to take a lead role in coordinating various working group constituencies so that an issuer can respond effectively and promptly to comments from the SEC staff relating to a filed registration statement, and (6) be from a top 20 law school, or law review/honors and from a New York-style biglaw background Media and entertainment experience would be a bonus but not required.
