Davis Polk advised the United States Department of the Treasury (Treasury) in connection with its offering of approximately 188.5 million shares of common stock of American International Group, Inc. (AIG), which included the full exercise of the underwriters’ over-allotment option, representing proceeds to Treasury of approximately $5.8 billion. AIG agreed to purchase approximately 65.6 million shares in the offering, representing $2 billion of Treasury’s proceeds from the sale.

(Ulta Beauty), the nation’s largest beauty products and services retailer, announced it has priced an underwritten public offering of seven million shares of its common stock held by certain entities associated with Mousse Partners, at a price to the public of $84.00 per share, in a deal valued at $588 million. The underwriters have a 30-day option to purchase up to an additional 1,050,000 shares from one of the selling stockholders.
