Paul Hastings Represents Leading Brazilian Transmission Company TAESA in BRL 1.76 Billion Equity Offering

Paul Hastings, a leading global law firm, announced today that the firm represented Brazil’s Transmissora Aliança de Energia Elétrica S.A. (TAESA), a Brazilian electric-transmission company in a BRL 1.755 billion (US$ 876 million) public equity offering. The deal is the second largest equity offering out of Brazil in 2012. The offering represents a re-IPO for TAESA as it is the first time it has accessed the public equity markets since its IPO in 2006. The securities priced within range in what has been characterized as a tough year for the Brazilian equity markets. The deal was significantly oversubscribed driven by investors attracted to the energy sector in Brazil. TAESA also enjoys strong shareholder support from its joint controlling shareholders CEMIG Geração e Transmissão, a subsidiary of CEMIG (NYSE: CIG; CIG.C), and FIP Coliseu.

Paul Hastings Advises Initial Purchasers on US$350 Million High Yield Bond Offering by Empresas ICA, S.A.B. de C.V.

Paul Hastings, a leading global law firm, announced today that the firm represented the initial purchasers on an offering of 8.375% senior guaranteed notes due 2017 of Empresas ICA, S.A.B. de C.V. (BMV:ICA) (NYSE:ICA), Mexico’s largest construction and infrastructure operations company. Bank of America Merrill Lynch, Deutsche Bank and Goldman Sachs were lead bookrunners with BBVA, Morgan Stanley and Santander as initial purchasers. The deal was upsized from US$300 million and was more than six times oversubscribed reflecting strong investor interest in Latin America high yield issuances. Proceeds of the high yield debt offering will be used to pay short term debt.

Davis Polk Advises on Sale of Controlling Interest in Maxum

Davis Polk is advising Metalmark Capital in connection with the acquisition of a controlling interest in Maxum Petroleum, Inc. by Pilot Flying J for cash and Pilot Flying J’s contribution of Western Petroleum into Maxum Petroleum. Current investors in Maxum Petroleum, including Maxum management, Metalmark and Waud Capital Partners, will receive cash and will also re-invest in the new venture. The transaction is subject to customary closing conditions, including expiration or early termination of the waiting period under the Hart-Scott-Rodino Act.

The firm is representing Genesee & Wyoming Inc. (NYSE:GWR) in connection with its acquisition of RailAmerica, Inc. (NYSE:RA) for $27.50 per share in cash. The transaction is valued at approximately $1.4 billion, excluding RailAmerica’s outstanding debt. The transaction, which is subject to approval or authorization of the Surface Transportation Board and other customary closing conditions, is expected to close in the fourth quarter of 2012.
