Davis Polk – PHH Corporation Convertible Notes Offering

Davis Polk advised J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated as joint book-running managers in connection with the public offering of $250 million aggregate principal amount of 6% convertible senior notes due 2017 issued by PHH Corporation. The offering included $30 million aggregate principal amount of notes purchased by the underwriters upon full exercise of the over-allotment option granted by PHH.

Davis Polk – China Communications Services Corporation Limited Rights Offering

Davis Polk advised CITIC Securities Corporate Finance (HK) Limited (CITIC) on the $473.2 million rights offering of China Communications Services Corporation Limited. The rights offering consisted of a public offering of H shares (shares listed on the Hong Kong Stock Exchange) and a public offering of domestic shares (unlisted shares) in the PRC. CITIC was the sole bookrunner and underwriter of the rights offering.

King & Spalding Advises NBK Capital in USD140 Million

King & Spalding and its affiliated office in Riyadh, the Law Office of Mohammad Al-Ammar, advised NBK Capital on the successful exit of Jeddah-based Hanco, a leading fleet leasing and rental company in Saudi Arabia, in a deal valuing Hanco at USD140 million. The sale generated a return in excess of two times the initial investment for NBK Capital Equity Partners Fund I, an NBK Capital private equity fund focused on providing growth capital to companies in the Middle East and North Africa region.
