Freshfields Advises on Swire Properties Listing

International law firm Freshfields Bruckhaus Deringer has advised the joint sponsors on the spin-off and listing by way of introduction of Swire Properties Limited on the Main Board of the Hong Kong Stock Exchange.

Swire Properties Limited is a leading developer, owner and operator of mixed use properties in Hong Kong and the PRC. Prior to its listing, Swire Properties was a wholly-owned subsidiary of Swire Pacific Limited, one of Hong Kong’s leading listed companies with diversified interests in property, aviation, beverages, marine services and trading and industrial. Swire Properties’ successful listing was effected by a way of a distribution in specie of a portion of the share capital of Swire Properties to qualifying shareholders of Swire Pacific. The listing will enable Swire Properties to raise funds from the equity capital markets for future expansion of its business. 
The joint sponsors were BOC International, Goldman Sachs, HSBC and Morgan Stanley. 
The Freshfields global capital markets team was led by partners Grace Huang on Hong Kong law and Ken Martin on US law. The deal team included US senior associate James Hyre and Hong Kong associates Dickson Ng, Janet Low and Gary Loh.
