In its May 10, 2012 opinion, the Second Circuit affirmed “for substantially the reasons stated in the district court’s thoughtful and thorough opinions [dismissing the second amended complaint],” and expanded the application of its 2011 decision in Fait v. Regions Fin. Corp. to encompass claims concerning goodwill brought under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934 (1934 Act).
