White & Case – Cukurova Wins Long-Running Litigation Over US$2 Billion Turkcell Shares

Global law firm White & Case LLP has secured an important victory for its client, Turkish conglomerate Çukurova Holding A.Ş., in its long-running dispute with Russia’s Alfa Group concerning share ownership of Turkey’s largest mobile telephone operator, Turkcell. The proceedings began almost six years ago in the courts of the British Virgin Islands and relate to a 13 percent holding in Turkcell, currently valued at approximately US$2 billion. The Privy Council (the final court of appeal from the British Virgin Islands) today delivered its judgment in favour of Çukurova.

BakerHostetler Advises Denbury Resources in $1.2 Billion Debt Offering

In a noteworthy capital markets transaction, law firm BakerHostetler has advised CO2 enhanced oil recovery leader Denbury Resources in a $1.2 billion debt offering. The 10 ½ -year, senior subordinated notes were priced to yield 4.625 – according to the underwriters, that represents the lowest yield on record for a non-investment grade subordinated notes offering. The sale is expected to close on February 5.

Simpson Thacher Represents Initial Purchasers in $300 Million Debt Offering by NeuStar, Inc.

Simpson Thacher represented the initial purchasers, led by J.P. Morgan Securities LLC, Morgan Stanley & Co. LLC and RBC Capital Markets, LLC, in an offering of $300 million aggregate principal amount of 4.50% Senior Notes due 2023 by NeuStar, Inc. (“NeuStar”) and guaranteed by certain of its subsidiaries. The net proceeds from the offering, together with borrowings under a new credit facility, were used to repay NeuStar’s existing term credit facility.
