Simpson Thacher Represents Chinalco Mining Corporation International in Its Hong Kong IPO

The Hong Kong office and Beijing office of the Firm represented Chinalco Mining Corporation International (“CMC”), a resource development subsidiary of Aluminum Corporation of China’s (“Chinalco”), as its US counsel, in connection with its initial public offering in Hong Kong and Rule 144A/Regulation S offering of 1,764,913,000 ordinary shares, raising approximately HK$3.1 billion (approximately US$400 million) in gross proceeds (before the exercise of the over-allotment option). CMC’s ordinary shares are listed on the Hong Kong Stock Exchange. CMC is intended to act as Chinalco’s core platform for the future acquisition, investment, development and operation of non-ferrous and non-aluminum mineral resources and projects overseas.

Simpson Thacher Represents Underwriters in IPO of Bright Horizons Family Solutions Inc.

The Firm recently represented a group of underwriters, led by Goldman, Sachs & Co., J.P. Morgan Securities LLC and Barclays Capital Inc., in the initial public offering of common stock of Bright Horizons Family Solutions Inc. (“Bright Horizons”), a portfolio company of Bain Capital Partners, LLC. Bright Horizons’ shares are now listed on the New York Stock Exchange under the ticker symbol “BFAM”. Bright Horizons received approximately $222 million in gross proceeds from the offering.

Simpson Thacher represented J.P. Morgan Securities LLC, Merrill Lynch, Pierce Fenner & Smith Incorporated and Wells Fargo Securities, LLC in an offering of $250 million aggregate principal amount of 7.500% Senior Notes due 2020 by Zachry Holdings, Inc. The proceeds of the notes offering were used repay certain indebtedness.

Allen & Overy Advises Tokai Rubber Industries on Anvis Group Acquisition

Allen & Overy LLP has advised Tokai Rubber Industries, Japan, on the acquisition of automotive supplier Anvis from H.I.G. Europe, the European arm of H.I.G. Capital, which focuses on small and medium-sized businesses. The transaction is still subject to clearance by the competent cartel authorities.
