Flagstar has entered into a Transaction Purchase and Sale Agreement under which a wholly-owned subsidiary of CIT Bank, the U.S. commercial bank subsidiary of CIT Group Inc., will acquire this portion of the portfolio. The transaction is effective December 31, 2012.

Davis Polk is advising Unitas Capital Pte. Ltd. on its proposed acquisition of a majority-stake equity interest in Shenzhen ZTE NetView Technology Co., Ltd. (ZNV), an indirect subsidiary of ZTE Corporation. The definitive agreements were entered into on December 28, 2012, and the transaction is expected to close in January 2013.

The acquisition will combine ING’s Malaysian operations and AIA’s existing Malaysian business, currently the third and the fourth largest in Malaysia respectively, to create the largest life insurer in the country. AIA’s market share will double to 25 percent in Malaysia, one of Southeast Asia’s most attractive and fastest growing life assurance markets.
