Adams and Reese Expands to Jacksonville with Fifth Florida Office

The law firms of Adams and Reese LLP and Volpe, Bajalia, Wickes, Rogerson & Wachs (VBWR) announced the merger of the two firms, effective March 1, 2013. The merger continues Adams and Reese’s aggressive growth across the state of Florida, adding Jacksonville as its fifth Florida location. The firm already has offices in Tampa, Tallahassee, St. Petersburg and Sarasota. The merger was announced jointly by Adams and Reese Managing Partner, Charles P. Adams, Jr. and VBWR Shareholder, Timothy W. Volpe.

Akin Gump Represents Eastman Kodak Second Lien Noteholders in $830 Million DIP Financing

Akin Gump Strauss Hauer & Feld LLP represented second lien noteholders of Eastman Kodak in the negotiation of an amended and restated commitment letter for $830 million in supplemental junior DIP financing. The firm also advised the noteholders on the offering to subscribe to fund their pro rata share of the new money loans under the DIP financing and exchange a pro rata amount of their pre-petition second lien notes for junior loans under the DIP financing facility.

Baker & McKenzie Advises Pacific Andes on the US$555.8 million Voluntary Cash Offer for Copeinca by China Fishery

Baker & McKenzie is acting as Hong Kong counsel to Hong Kong-listed leading international frozen seafood supplier Pacific Andes International Holdings Limited (“PAIH”) in relation to the proposed acquisition by China Fishery Group Limited (“China Fishery”), an indirect non-wholly owned subsidiary of PAIH, on its US$555.8 million voluntary cash offer for all the outstanding issued shares of Copeinca ASA (“Copeinca”).  Copeinca is the second largest fishing company in Peru whose shares are primarily listed on Oslo Børs and secondarily listed on the Lima Stock Exchange.  The acquisition would elevate China Fishery to become Peru’s largest producer, as well as among the world’s largest producers, of fishmeal and fish oil.

DLA Piper Advises ESPN on Sale of UK and Ireland TV Channels to BT Group

DLA Piper has represented ESPN on the acquisition of its UK and Ireland TV business, including its live sports rights portfolio, by BT Group. Under the terms of the deal, BT will acquire the ESPN and ESPN America channels in the UK and Ireland and broadcast rights to the FA Cup, Clydesdale Bank Scottish Premier League, UEFA Europa League and the German Bundesliga.
