A large group of institutional investors, comprising mostly US and UK hedge funds, appointed Bankruptcy & Restructuring Partners David von Saucken and Paul Atherton in Kaye Scholer’s London office to represent them as convertible bondholders in the restructuring of IVG Immobilien AG. IVG is a German-listed public company with approximately 550 employees at 19 locations in major German and European cities. It manages assets totaling over €21 billion with a particular focus on real estate and infrastructure.

Davis Polk Advises the French State on the Sale of a 3.6% Stake in EADS
Davis Polk advised the French State in connection with the disposal of 1.5% of the total share capital of EADS, completed on April 16, 2013, through a share buyback for a total amount of €483 million, and a subsequent private placement by way of an accelerated book-building relating to 2.1% of the total share capital for a total amount of €707 million and completed on May 2, 2013.

Orrick Advises Iowa Fertilizer Company on $1.8 Billion Financing
Orrick, Herrington & Sutcliffe LLP has advised Iowa Fertilizer Company LLC, a subsidiary of OCI N.V., in the $1.8 billion financing of a new nitrogen fertilizer production plant in Lee County, Iowa. This will be the first world scale natural gas-based fertilizer plant built in the United States in more than 20 years.
