Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated, in connection with the public offering by Boston Scientific Corporation (“Boston Scientific”) of $1.05 billion of debt securities, consisting of $600 million of 2.65% notes due 2018 and $450 million of 4.125% notes due 2023. Boston Scientific will use the net proceeds from the offering, together with borrowings under its recent $400 million term loan facility, to redeem all or a portion of its 5.45% notes due June 15, 2014 and 4.50% notes due January 15, 2015, and to pay related fees, expenses and premiums.
