Miles & Stockbridge P.C. continues the strategic expansion of its Intellectual Property Practice with the addition of seven lawyers and a patent agent. On August 26th, the firm will welcome Susan McBeeChester Moore, and David Woodward as principals; Richard Henderson as of counsel; Bryan Jones and David Vanik as counsel; and Shazi Jiang as an associate. All were previously with the Washington, D.C. office of Baker, Donelson, Bearman, Caldwell & Berkowitz, PC. William Brett Stauffer, a registered patent agent, will also join the firm.

Willkie Advises on Formation of Maritime Finance Company

On August 20, private equity firm Kohlberg Kravis Robert & Co. L.P. (KKR) announced the formation of Maritime Finance Company, a new specialty finance company created to lend to the maritime industry. Willkie is advising Maritime Finance Company and its founders, Kristan Bodden and Gabriel Tolchinsky, in the deal. The company will be initially capitalized by a $580 million investment, 45% of which has been provided by KKR and its affiliates. The balance was arranged by MerchCap Solutions LLC. The new investment platform will acquire assets in the offshore oil field services industry as well as traditional shipping sectors.

Proskauer Advises CCB International on $200 Million Senior Notes Offering

Global law firm Proskauer represented CCB International as the lead initial investor in respect of a US$200,000,000 guaranteed secured senior notes issued by Zhuguang Holdings Group Company Limited, a property development and investment company based in Guangdong Province China and listed on the Hong Kong Stock Exchange (HKSE). In consideration of the purchase of the senior notes, the Issuer also issued to the initial investors warrants representing aggregate exercise price of US$40,000,000.

Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated and Leerink Swann LLC as joint book-running managers on an SEC-registered offering of 5,785,123 shares of common stock of The Medicines Company for an aggregate price to the public of approximately $175 million.
