Davis Polk Advises on Placement of Shares in Goldpoly New Energy Holdings Limited

Davis Polk advised Credit Suisse (Hong Kong) Limited, Morgan Stanley & Co. International plc, BOCI Asia Limited and CLSA Limited in their capacity as placing agents for the placement of 1,000,000,000 shares (the “Placing Shares”)in Goldpoly New Energy Holdings Limited (“Goldpoly”) for a total consideration of approximately HK$1.7 billion.

Davis Polk – NextEra Energy, Inc. $977 Million Common Stock Offering and Forward Sale Agreement

Davis Polk advised Citibank, N. A. as forward counterparty under a forward sale agreement with NextEra Energy, Inc. relating to 6,600,000 shares of its common stock in connection with an SEC-registered offering by NextEra Energy of a total of 11,100,000 shares of its common stock, in which NextEra Energy also issued and sold 4,500,000 shares of its common stock to the underwriters in the offering. In connection with the forward sale agreement, an affiliate of Citibank N. A. borrowed from third parties an aggregate of 6,600,000 shares of NextEra Energy’s common stock and sold these shares to the underwriters. The net proceeds to NextEra Energy of the offering (assuming physical settlement of the forward sale agreement at the initial forward sale price) are expected to be approximately $977 million, $581 million of which are expected to be received at settlement the forward sale agreement.

Morrison & Foerster Adds Accomplished Corporate Finance Partner Scott Lesmes in Washington, D.C.

Morrison & Foerster announced today that Scott Lesmes has joined the firm’s Corporate Finance practice as a partner in Washington, D.C. Mr. Lesmes formerly served as chief legal officer for Allied Capital Corporation and as deputy general counsel for Fannie Mae. He follows the recent arrival of SEC veteran and highly respected securities lawyer Martin Dunn, who formerly served as deputy director and acting director of the SEC’s Division of Corporation Finance and joined the firm earlier this month.
