Latham & Watkins Advises on Successful Registration of Hong Kong Tax-Exempt Charity

Latham & Watkins has assisted Asia Community Ventures (“ACV”), on a pro bono basis, in its incorporation and registration as a company limited by guarantee with the Companies Registry and its successful application for charity status under Section 88 of the Inland Revenue Ordinance (Cap. 112) (the “Ordinance”). ACV is an independent, Hong Kong-based not-for-profit organization supporting impact investing and social entrepreneurship in Hong Kong and Asia. Among its activities, ACV, working in partnership with The Rockefeller Foundation, has launched the “Impact Economy Innovations Fund” offering unconditional grants of up to a total of $400,000 to fund intermediaries that promote the growth of impact investing and social enterprise work in Asia.

Squire Sanders Advises On €369 Million Acquisition of Residential Real Estate Portfolio

Global legal practice Squire Sanders has advised listed residential property company, Deutsche Wohnen AG, on the acquisition of a real estate portfolio of approximately 6,900 units in Berlin from Luxembourg affiliates of Blackstone Real Estate Partners Europe III. The purchase price for the acquisition consists of €260 million in cash and 8,150,000 new shares, which will result in the Blackstone Funds becoming a 5% shareholder in Deutsche Wohnen. The acquisition will complete following merger clearance and registration of the capital increase with the commercial register.

Willkie Advises Auxilium in $657 Million Acquisition of Actient

On April 29, it was announced that Willkie client Auxilium Pharmaceuticals, Inc., a specialty biopharmaceutical company, has completed its acquisition of private urology specialty therapeutics company Actient Holdings LLC. Auxilium is paying $585 million in upfront cash plus certain contingent consideration and warrants to purchase Auxilium common stock, for a total enterprise value of up to $657 million. Based in Lake Forest, IL, Actient’s urology portfolio includes TESTOPEL, the only long-acting implantable testosterone replacement therapy (TRT) and Edex, the leading branded non-oral drug for erectile dysfunction. Chesterbrook, PA-based Auxilium focuses on developing and marketing products, including Testim 1% (testosterone gel) in the U.S. for the topical treatment of hypogonadism, to predominantly specialist audiences. The deal is expected to create a leading urology platform with the widest range of products for TRT.

Schwarzman Education Foundation in connection with the creation of a $300 million scholarship fund for study at Tsinghua University in Beijing and the creation of Schwarzman College at the University. The program, whose endowment represents one of the largest single gifts to education in the world and one of the largest philanthropic gifts ever in China, was announced by Mr. Schwarzman in Beijing on Sunday. The gift, also announced on “Face the Nation,” was the subject of an article in Sunday’s New York Times and was the national headline news in the prime-time news programs by all Chinese state-run TV stations.

Simpson Thacher Represents Underwriters in $2.3 Billion Initial Public Offering of DoubleLine Income Solutions Fund

Simpson Thacher recently represented a group of underwriters in connection with the initial public offering of DoubleLine Income Solutions Fund (the “Fund”). The offering raised $2.3 billion and represents one of the largest IPOs for any closed-end bond fund in the U.S. The Fund is a newly organized, non-diversified, closed-end management investment company which trades on the New York Stock Exchange under the symbol “DSL”. The lead underwriters in the transaction were UBS Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Citigroup Global Markets Inc., Morgan Stanley & Co.
