Davis Polk advised The AES Corporation in an SEC-registered offering of $500 million aggregate principal amount of 4.875% senior notes due 2023, and on its concurrent tender offers for any and all of its outstanding 7.75% senior notes due 2014, and up to a total of $300 million aggregate principal amount of its outstanding 7.75% senior notes due 2015, 9.75% senior notes due 2016 and 8.00% senior notes due 2017. Morgan Stanley & Co. LLC, Barclays Capital Inc., Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc. and RBS Securities Inc. were joint book-running managers for the offering of the senior notes.
