Davis Polk Advises Aetna on $1.5 Billion Credit Facility

Davis Polk advised Aetna Inc., as borrower, in connection with a new $1.5 billion senior five-year revolving credit facility. The facility may be used for general corporate purposes. JPMorgan Chase Bank, N.A. was the administrative agent and J.P. Morgan Securities Inc., Citigroup Global Markets Inc., and Merrill Lynch, Fenner and Smith Incorporated were the joint lead arrangers and joint bookrunners.

Simpson Thacher Represents AXIS Capital Holdings Limited in $400 Million Offering of Preferred Stock and in Equity Tender Offer

The Firm represented AXIS Capital Holdings Limited in connection with a registered offering of 16,000,000 shares of 6.875% Series C Preferred Shares at a liquidation preference of $25 per share, representing $400,000,000 in aggregate liquidation preference, and a tender offer to purchase for cash any and all of its outstanding 7.50% Series B Preferred Shares.  AXIS intends to use the net proceeds from the offering to finance the tender offer and any remaining net proceeds for general corporate purposes, including to redeem in part its outstanding Series A Preferred Shares.
