New Corporate Partner Joins RHTLaw Taylor Wessing

RHTL. Taylor Wessing is proud to announce the addition of Mr Richard Tan as a Partner in its Corporate & Securities Practice with effect from 3 April 2013.

Richard previously practiced in a mid-sized Singapore law firm as well as in a mid-size Australian law firm in the State of Victoria, where he advised on a range of matters in relation to corporate advisory, mergers and acquisitions, cross-border refinancing and intellectual property.

Richard has over 9 years’ experience working as a corporate lawyer, and is dually qualified as a Barrister and Solicitor in Victoria, Australia and as an Advocate and Solicitor in Singapore. He has experience advising and representing companies in a wide range of commercial transactions such as asset acquisitions, IPOs and other fund raising exercises, mergers and acquisitions, corporate advisory and compliance involving both listed and private companies.

Richard has worked on a number of notable capital markets and M&A transactions in Asia and Australia, and has received numerous citations and awards for his work.

Some of the key transactions which Richard has been involved in include:-

  • Advised both Silverlake Axis Ltd and Top Global Limited on the transfer of their listing status from the SGX Catalist to the SGX Main Board.
  • Advised China Powerplus Limited on the privatization of the assets of its Australian Stock Exchange listed associate, China Steel Australia Limited.
  • Advised Swanmet Engineering Pte Ltd a metal foundry company with operations in Malaysia and Singapore in its corporate restructure and its successful merger with Norcast S.a.r.l, the parent company of Norcast Wear Solutions in Canada (the world’s second largest producer of mill liners and one of the world’s largest suppliers of mill liners, crushers and wear components to the mining industry).
  • Advised Eastern Holdings Limited in relation to the divestment of the exhibition business and assets of its subsidiary Eastern Directories Pte Ltd (relating to the “IT Show”, “COMEX”, “Food & Beverage Fair” and “World Food Fair” exhibitions) to Sphere Exhibits Pte Ltd (a subsidiary of the Singapore Press Holdings Limited) for a total consideration of $43,500,000.
  • Advised The St James Pte. Ltd. (“SJ”) and its shareholders in the S$108 million reverse takeover of then SESDAQ listed JK Technology Group Limited (JK Tech), which was subsequently renamed St James Holdings Limited, whereupon the assets of SJ namely the St James Power Station, Bar None and The Living Room were injected into JK Tech.
  • Advised on the liquidation of Wilmar International Holdings Limited and Wilmar Holdings Pte Ltd, who were the substantial shareholders of Wilmar International Limited, whereupon the successful liquidation of the companies had the positive effect of increasing the public float of Wilmar International Limited.
