Willkie Adds Hannah Thompson Frank as Partner in Washington, DC

Willkie Farr & Gallagher LLP announced today that Hannah Thompson Frank has joined the Firm as a partner. She is a member of the Corporate & Financial Services Department and Capital Markets Practice Group, and is based in Washington, DC. She was previously a partner at McGuireWoods.

Hannah serves as lead counsel to publicly traded companies, primarily in the energy, financial services, manufacturing and technology sectors, guiding them on crisis management, capital and strategic transactions, corporate governance, legal strategy and compliance with securities laws. She also guides boards and executive teams on navigating crises and complex issues facing their companies. She regularly advises public company clients on fundraising each year through equity, debt and hybrid securities products, and on complex liability management transactions, including tender offers, exchange offers, consent solicitations, redemptions and complex recapitalizations. Hannah counsels issuers on the establishment and management of share repurchase programs, commercial paper programs and shelf registration statements, among other matters, and provides advice on regulatory and disclosure requirements, including SEC matters and compliance with stock exchange rules.
