Publicis Groupe and Sapient announced that they have entered into a definitive agreement under which Publicis Groupe will acquire Sapient in an all‑cash transaction for $25.00 per share, or approximately $3.7 billion. Cravath represented Sapient in this transaction, which is expected to close in the first quarter of 2015, subject to the satisfaction of customary closing conditions and regulatory approvals.
