Simpson Thacher Represents Colombia’s Mercantil Colpatria in Scotiabank’s Acquisition of 51% in Banco Colpatri

Simpson Thacher represented Mercantil Colpatria in connection with its sale to The Bank of Nova Scotia of 51 percent of the shares of Banco Colpatria. Mercantil will receive $500 million in cash and 10 million in common shares of Scotiabank pursuant to the transaction, which values Banco Colpatria at approximately $2 billion.  The transaction is subject to regulatory approval.

Davis Polk – Smucker’s $750 Million Debut Registered Notes Offering

Davis Polk advised J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated as joint book-running managers and representatives of the underwriters on the SEC-registered registered offering by The J. M. Smucker Company of $750 million of its 3.500% notes due 2021, its first public debt offering. The notes were guaranteed on a senior unsecured basis by two of Smucker’s wholly owned domestic subsidiaries, J.M. Smucker LLC and The Folgers Coffee Company. In connection with the offering, the trustee, on behalf of the noteholders, entered into a joinder agreement to Smucker’s existing intercreditor agreement among the lenders and noteholders of Smucker’s other guaranteed debt.

Davis Polk Advises Roche on Its Acquisition of Anadys Pharmaceuticals

Davis Polk is advising Roche in connection with its $230 million acquisition of Anadys Pharmaceuticals, Inc. In accordance with the terms of the merger agreement entered into by the parties, Roche will commence a tender offer for all of the outstanding shares of Anadys at $3.70 per share in cash. Simpson Thacher represented EQT VI Limited in the establishment of the EQT VI Fund (the “Fund”).  The Fund raised approximately €4.75 billion of commitments and its strategy will be similar to its predecessor fund with a focus on control investments in high-quality, market leading, medium-sized to large companies in growing industries in Northern and Eastern Europe.  The fund raising is, according to media reports, the biggest European buy-out fund raising to have a final close since the height of the financial crisis.
