Shearman & Sterling represented Citigroup as underwriter of a secondary public offering by certain stockholders affiliated with Oak Hill Capital Partners of 2,000,000 shares of ExlService Holdings, Inc. common stock.

The Department of Justice Antitrust Division cleared the proposed combination of the businesses of Datatel and SunGard Higher Education, two providers of student information systems and related products for higher education institutions.  The Antitrust Division cleared the proposed combination following a Second Request investigation.  Affiliates of private equity firm Hellman & Friedman will acquire the SunGard Higher Education businesses from SunGard Data Systems and combine the acquired businesses under a new holding company with Datatel, an existing Hellman & Friedman portfolio company.

Davis Polk advised IPALCO Enterprises, Inc. on its offer to exchange $400 million aggregate principal amount of its new 5.0% senior secured notes due 2018, which have been registered under the Securities Act, for its outstanding 5.0% senior secured notes due 2018, which were originally issued pursuant to Rule 144A and Regulation S under the Securities Act. Davis Polk also previously advised IPALCO on the original Rule 144A/Regulation S offering of the $400 million of senior secured notes.

Davis Polk is advising Comcast Corporation in connection with the $3.6 billion sale by SpectrumCo, LLC of 122 Advanced Wireless Services spectrum licenses to Verizon Wireless. SpectrumCo is a joint venture between Comcast Corporation, Time Warner Cable and Bright House Networks. Comcast owns 63.6% of SpectrumCo and will receive approximately $2.3 billion from the sale. The transaction is subject to approval by the Federal Communications Commission and review under the Hart-Scott Rodino Act and other customary conditions.
