The Antitrust Division cleared the proposed combination following a Second Request investigation. Affiliates of private equity firm Hellman & Friedman will acquire the SunGard Higher Education businesses from SunGard Data Systems and combine the acquired businesses under a new holding company with Datatel, an existing Hellman & Friedman portfolio company.

SpectrumCo is a joint venture between Comcast Corporation, Time Warner Cable and Bright House Networks. Comcast owns 63.6% of SpectrumCo and will receive approximately $2.3 billion from the sale. The transaction is subject to approval by the Federal Communications Commission and review under the Hart-Scott Rodino Act and other customary conditions.
