Morgan Securities LLC and Scotia Capital (USA) Inc., in the sale of an aggregate principal amount of $300 million 7.00% Senior Notes due 2020 of New Gold Inc., a British Columbia corporation (“New Gold”). The offering was conducted as a private offering in reliance upon Rule 144A and Regulation S. The notes are guaranteed by certain of New Gold’s direct and indirect subsidiaries. The transaction closed on April 5, 2012. New Gold intends to use the net proceeds from the offering to fund the redemption of its 10% Senior Secured Notes due 2017 and for general corporate purposes.
