Simpson Thacher Represents KKR in Acquisition of a Controlling Interest in WMF AG from Capvis Equity Partners AG

The Firm is representing Kohlberg Kravis Roberts & Co. in the acquisition by a holding company, Finedining Capital GmbH, of a controlling interest in WMF AG from the Swiss financial investor Capvis Equity Partners AG. Finedining Capital GmbH also announced its intention to make a voluntary public tender offer for the remaining ordinary and preference shares of WMF, currently listed on the Frankfurt stock exchange. The aggregate transaction value is estimated to amount to at least €587 million.

Simpson Thacher Advises Sheridan Holdings in the Establishment of $810 Million Credit Facilities

The Firm represented Sheridan Holdings, Inc., a provider of a full line of hospital based clinical and management solutions in the specialty areas of children’s services, anesthesiology, radiology and emergency medicine, in connection with the establishment of first and second lien senior secured credit facilities in an aggregate principal amount of $810 million. A portion of the proceeds from such new facilities was used to refinance Sheridan Holdings, Inc.’s existing first and second lien senior secured credit facilities. Sheridan Holdings, Inc. is an affiliate of Hellman & Friedman LLC.

Weil – Mubadala, Sony Consortium Closes $2.2B Acquisition of EMI’s Music Publishing Business

Weil advised Mubadala Development Company PJSC, a strategic investment arm of the Abu Dhabi Government, in the formation of a joint venture with Sony/ATV and a consortium of co-investors – including GSO Capital Partners, Jynwel Capital and film and music mogul David Geffen – to acquire EMI’s music publishing business for $2.2 billion. The transaction closed on June 29, 2012 following clearance by EU and US antitrust regulators. Weil also advised the full consortium on numerous aspects of the transaction, including negotiation of the acquisition agreements with Citigroup and EMI and the $1.25 billion senior secured and $403.3 million senior notes financing for the acquisition.
