Banking and Finance Partner Joins Chadbourne Latin America Practice Group

The international law firm Chadbourne & Parke LLP today announced that Margarita Oliva Sainz de Aja, a leading banking and finance lawyer, has joined the firm as an international partner in Chadbourne’s Latin America group. She will divide her time between Chadbourne’s New York, Mexico City and São Paulo offices.

The Firm recently represented the underwriters, led by Citigroup Global Markets Inc., in connection with registered public offerings of 6,000,000 shares of common stock of Solar Capital Ltd. (NASDAQ: SLRC) and 2,000,000 shares of common stock of Solar Senior Capital Ltd. (NASDAQ:SUNS). The gross proceeds from the offering to SLRC were $140,910,000 and to SUNS were $37,200,000.

Simpson Thacher Represents TPC Group Inc. in Senior Secured Notes Offering

Simpson Thacher represented TPC Group Inc. (“TPC”) in connection with its Rule 144A and Regulation S offering of $100 million aggregate principal amount of additional 8.75% Senior Secured Notes due 2020. The deal closed on January 22, 2013. TPC used the net proceeds from this offering for general corporate purposes, including for certain strategic capital projects.

Cravath – Saint-Gobain’s Sale of Its Verallia North America Business to the Ardagh Group

On January 17, 2013, Compagnie de Saint‑Gobain announced that it has agreed to sell its Verallia North America business to the Ardagh Group for an enterprise value of approximately US$1.7 billion. Verallia North America is the second largest glass container manufacturer in the United States. The transaction is subject to regulatory approval. Cravath acted as U.S. counsel to Saint‑Gobain in connection with this transaction.
