Davis Polk – Men’s Wearhouse to Acquire Jos. A. Bank Clothiers

Davis Polk is advising J.P. Morgan Securities LLC and Bank of America Merrill Lynch as financial advisers to The Men’s Wearhouse, Inc. in connection with its definitive agreement to acquire Jos. A. Bank Clothiers, Inc. for $65.00 per share in cash, or total consideration of $1.8 billion. The transaction, which is expected to close by the third quarter of 2014, is subject to satisfaction of customary closing conditions.

Cahill represented BofA Merrill Lynch and Credit Suisse as underwriters in connection with the secondary public offering by certain shareholders of Nielsen Holdings N.V. (NYSE: NLSN), valued at $1,387,500,000. The offering made available 30,000,000 shares of common stock. The selling stockholders received all of the proceeds of the sale.

Cravath – Johnson & Johnson’s Offer from The Carlyle Group to Acquire Ortho-Clinical Diagnostics for $4.15 Billion

On January 16, 2014, Johnson & Johnson announced that it has received a binding offer from The Carlyle Group to acquire its Ortho‑Clinical Diagnostics business for US$4.15 billion. Cravath represented Johnson & Johnson in connection with this transaction. The acceptance period for the offer will end on March 31, 2014, unless extended. If the offer is accepted by Johnson & Johnson, the proposed transaction would be expected to close toward the middle of the year, pending fulfillment of certain conditions, including regulatory approvals and other customary closing requirements.

Davis Polk – Open Text Corporation $800 Million Acquisition Financing

Davis Polk advised Barclays Bank PLC and Royal Bank of Canada Capital Markets as joint lead arrangers and joint bookrunners and Barclays Bank PLC, as administrative agent and collateral agent, in connection with a new $800 million senior secured term loan facility provided to Open Text Corporation (Open Text), the proceeds of which were used by Open Text to finance its acquisition of GXS Group, Inc. (GXS). The term loan facility is guaranteed by certain domestic and foreign subsidiaries of Open Text and is secured by substantially all of the assets of Open Text and the guarantors thereunder. In connection with the new financing, certain amendments to Open Text’s existing credit agreement were effected.
