Cooley Boosts Public Companies Practice With New York Duo

Cooley continues to strengthen its public companies practice and New York presence with the addition of partners Rupa Briggs and Nicolas Dumont to the firm’s business department. Briggs and Dumont are the latest in a string of prominent hires driven by client demand, adding significant depth to the firm’s comprehensive and diverse capabilities to support the day-to-day needs of its maturing public companies client base. Briggs and Dumont join from White & Case and Fenwick & West respectively.

“Rupa and Nicolas are both exceptional lawyers with broad experience serving a wide range of clients as they go public and beyond, including navigating multinational companies through offerings and transactions, corporate governance and disclosure and securities matters,” said Nicole Brookshire, who co-chairs Cooley’s public companies practice group alongside Chadwick Mills. “They will play a key role as we continue to take market leaders public – through traditional offerings and the transformational SPAC deals that we have been managing for our clients – and partner with clients as trusted advisers after they grow within the market.”

Briggs has extensive experience representing issuers and investment banks in capital markets transactions, spanning from initial public offerings, follow-on equity offerings, rights offerings and SPACs to high-yield and investment-grade debt offerings, liability management transactions and restructurings. She counsels public companies and their boards on securities and corporate matters, including SEC reporting and compliance, corporate governance and strategic transactions. She has worked with clients across diverse industries that include technology, healthcare, insurance and consumer products.

“Cooley is uniquely positioned to support clients through all stages of the corporate life cycle,” Briggs said. “This platform, paired with the firm’s inclusive and industry-leading collaborative culture, is the ideal formula for expanding my practice and contributing to the firm’s exceptional momentum.”

Dumont advises corporate and investment banking clients on corporate finance transactions that include IPOs, SPACs, common and preferred stock issuances, at-the-market offerings, private placements and rights offerings, senior, subordinated and convertible debt offerings, securities issued by banks, hybrid and derivative instruments, PIPE offerings, tender offers, consent solicitations and exchange offers. Additionally, he has significant corporate and securities experience in connection with corporate restructuring matters, including the representation of creditors and hedge funds. He also advises clients on securities law issues related to digital currencies and blockchain technology, and regularly advises public companies and their boards on general corporate and disclosure matters, corporate governance, and compliance with SEC and stock exchange rules.

“I look forward to working with Cooley’s booming public companies client base across the transaction and reporting cycle, and collaborating with my new colleagues in market-leading practices across the globe,” Dumont said. “The firm’s stellar track record on SPAC deals also perfectly complements my own experience.”

Cooley is a trusted boardroom insider to public companies, their boards and board committees on high-stakes and complex matters, representing 1,500+ public companies and serving as principal corporate governance and securities counsel for 190+ public companies. In partnering with Fortune 500 and newly public companies alike, the global team goes beyond providing legal advice and helps clients make sound commercial decisions, allowing them to successfully achieve their business goals.
