AerCap’s $3.49 Billion Registered Secondary Offering of Ordinary Shares and Concurrent Share Repurchase

Cravath represented AerCap Holdings N.V. in connection with its US$3.49 billion registered secondary offering of ordinary shares. AerCap Holdings N.V. is the world’s largest independent aircraft leasing company. AerCap Holdings N.V. also agreed to repurchase US$750 million of its ordinary shares from the selling shareholder. The shares were listed on the New York Stock Exchange. The transaction closed on June 9, 2015.
