Davis Polk – Taminco Corporation Initial Public Offering

Davis Polk advised Citigroup Global Markets Inc., Goldman, Sachs & Co., Credit Suisse Securities (USA) LLC and J.P. Morgan Securities LLC as joint book-running managers of the several underwriters in connection with the initial public offering of 15,789,474 shares of common stock of Taminco Corporation at $15.00 per share for net proceeds to Taminco of approximately $223.8 million. The common stock is listed on the New York Stock Exchange under the symbol “TAM.”

Taminco is the world’s largest pure play producer of alkylamines and alkylamine derivatives and is an Apollo portfolio company. Its products are used by customers in the manufacture of a diverse array of products for the agriculture, water treatment, personal and home care, animal nutrition and oil and gas end-markets, providing these goods with a variety of ancillary characteristics required for optimal performance. Taminco currently employs about 800 people and operates in 19 countries with seven production facilities in the United States, Europe and Asia. Taminco is a portfolio company of Apollo Global Management, LLC, which had approximately $113 billion in total assets under management as of December 31, 2012.
