The Firm recently represented TRW Automotive Holdings Corp. (“TRW”) and its subsidiary TRW Automotive Inc. (“TAI”) in connection with a Rule 144A/Regulation S offering by TAI of $400.0 million aggregate principal amount of 4.50% senior notes due 2021. TAI intends to use the net proceeds of the offering for general corporate purposes.
With 2012 sales of $16.4 billion, TRW ranks among the world’s leading automotive suppliers, operating through its subsidiaries in 25 countries and employing approximately 65,000 people worldwide. TRW products include integrated vehicle control and driver assist systems, braking systems, steering systems, suspension systems, occupant safety systems (seat belts and airbags), electronics, engine components, fastening systems and aftermarket replacement parts and services. Its common stock is listed on the New York Stock Exchange under the symbol “TRW”.
