The Firm represented Automotive Investors LLC, an affiliate of The Blackstone Group L.P., and certain members of TRW Automotive Holdings Corp.’s (“TRW”) management in connection with a registered public offering of 10,000,000 shares of TRW’s common stock. Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. LLC served as underwriters for the offering. The gross proceeds from the offering were approximately $591.0 million.
