Edwards Wildman Represents AmTrust Financial Services in Acquisition of First Nonprofit Companies

Edwards Wildman represented US-based multinational property and casualty insurer AmTrust Financial Services in its acquisition of First Nonprofit Companies (FNC) as well as in its agreement to buy Mutual Insurers Holding Company (MIHC) for an undisclosed sum.

FNC serves the property and casualty insurance requirements of approximately 1,500 non-profit and government entities. MIHC is the parent of First Nonprofit Insurance Company (FNIC), the third-largest provider of P&C insurance products to non-profit organizations in the US. The deal to buy MIHC is subject to regulatory and policyholder approval, and expected to close following the completion of the conversion of MIHC from a mutual holding company to a stock company. The Edwards Wildman team consisted of Jeff Etherington and Alan Levin on M&A and regulatory matters, Matthew Dallett and Kenneth Marx on securities, Chris Flanagan on tax issues, Lori Basilico on benefits, John Emmanuel on the regulatory side, and AJ Kritzman, Amber Mills and Zach Lerner, who assisted on the M&A side.
