Lowenstein Sandler Adds Seth T. Goldsamt as Partner in Specialty Finance Practice

Lowenstein Sandler has added veteran attorney Seth T. Goldsamt as a partner in its Specialty Finance practice. Seth is based in Lowenstein’s New York City office. He focuses his practice on public and private securities offerings as well as private equity and mergers and acquisitions. He joins Lowenstein Sandler from McDermott Will & Emery, where he was a partner.

“Seth possesses the high energy and entrepreneurial zeal for which Lowenstein is well known,” said Gary M. Wingens, Lowenstein Sandler Chairman and CEO. “His intense focus on client service makes him a natural fit for our driven, client-centric culture, and his creativity, knowledge of the marketplace and business savvy are well matched with his colleagues. We are very excited to have him.”

Seth has served as lead counsel in a wide variety of international corporate transactions, including public and private mergers and acquisitions, equity bridges, venture capital investments, joint ventures and strategic alliances, licensing transactions and restructuring transactions. He is particularly experienced representing issuers and investors in the energy/renewable energy, technology, telecommunications, pharmaceuticals, medical device and health care industries.

Seth regularly represents investment funds in connection with equity co-investments and mezzanine finance. Examples include his work on behalf of U.S. private investment funds in connection with the formation of Virgin America Airlines, and a major investor in a co-investment in the $45 billion buyout of TXU, the largest leveraged buyout in history. In addition to his transactional work, Seth also advises clients on general corporate matters, various aspects of corporate governance and compliance with the federal securities laws.

“We’ve been aware of Seth’s great work for years,” said Steven E. Siesser, Chair of Lowenstein Sandler’s Specialty Finance Practice. “His experience in the areas where we are very active, including high-profile M&A deals, public and private securities offerings and private equity transactions, makes him a great asset to our practice as it continues to grow and diversify its capabilities.”

“Lowenstein is a great platform for specialty finance and private equity work, and my new partners are exceptional lawyers,” said Seth. “Lowenstein’s collaborative, client-focused atmosphere is already apparent, and I look forward to digging in.”

Lowenstein Sandler’s Specialty Finance Group handles mergers and acquisitions, acquisition financing, PIPEs, SPACs and other corporate finance transactions for a wide array of investment funds, investment banks and issuers in an exceptional range of deals worldwide. According to PIPES Report and PrivateRaise.com, the group ranks among the most active law firms in the country representing placement agents and investors in PIPEs. While the practice covers many industries, it is especially active with technology and life science companies.

Mr. Goldsamt earned his J.D. from Columbia University School of Law, where he was head research and writing editor of the Columbia Journal of Law and Social Problems, and his B.A., magna cum laude, from Columbia College.
