Akerman Senterfitt Represents Carrols Restaurant Group in Public Offering

Akerman Senterfitt announced it has represented Carrols Restaurant Group Inc., the largest Burger King franchisee, in an underwritten public offering of 4,085,109 shares of its common stock held by funds managed by Jefferies Capital Partners, a private equity firm, in which Raymond James & Associates Inc. acted as the underwriter.

The Akerman team was led by shareholder Wayne Wald and of counsel, Palash Pandya, both of the New York office. They were assisted by shareholder Phil Schwartz of the Miami office and associates John Lee and Dalia De Leon of the New York office. The transaction was completed December 7.

“Whether for acquisitions, spin-offs, financings or securities offerings, Wayne has demonstrated time and again his ability to gather the right players for a critical team effort,” said Mary Carroll, chair of the Akerman Corporate Practice Group. “The smooth execution of this public offering is evidence of his and the firm’s dedication to our clients’ success.”

Akerman represented Carrols in several other transactions completed earlier this year including the acquisition of 278 Burger King Corporation (BKC) company-owned restaurants and related financing transactions, and in the spin-off of its wholly owned subsidiary, Fiesta Restaurant Group Inc., which owns, operates and franchises the Pollo Tropical and Taco Cabana restaurant brands.
