Simpson Thacher represented the underwriters, led by J.P. Morgan Securities LLC, in connection with the registered public offering by Block Financial LLC, a wholly-owned subsidiary of H&R Block, Inc., of $500 million aggregate principal amount of 5.50% notes due 2022 guaranteed by H&R Block.
The net proceeds of the offering, together with cash on hand, will be used to redeem Block Financial LLC’s $600 million aggregate principal amount of outstanding 7.875% Senior Notes due 2013.
H&R Block, Inc. provides assisted income tax return preparation, digital tax solutions and other services and products related to income tax return preparation to the general public primarily in the United States, and also in Canada and Australia.
