Alan S. Gaynor Joins TKD as a Partner in the Corporate Group

Tarter Krinsky & Drogin LLP is pleased to announce that Alan S. Gaynor has joined the firm as a Partner in the Corporate Practice Group at Tarter Krinsky and Drogin LLP.

Alan S. Gaynor is a partner at Tarter Krinsky & Drogin. His practice concentrates on mergers and acquisitions, public and private securities offerings, and general corporate, governance and transactional matters. Mr. Gaynor also has a background in accounting and taxation.

Throughout his career, Mr. Gaynor has represented corporate buyers, sellers and target companies in complex mergers, acquisitions and divestitures; issuers and underwriters in public securities offerings; issuers, investors and placement agents in private and exempt securities offerings; portfolio companies and investors in private equity transactions; and institutional lenders and borrowers in secured financing transactions. Furthermore, Mr. Gaynor has broad experience with respect to SEC reporting, 13e-3 “going private” transactions, tender offers, Real Estate Investment Trusts (“REITs”), Special Purpose Acquisition Companies (“SPACs”), private investments in public equity (“PIPEs”), recapitalizations and reorganizations, business partnerships and other joint ventures, and business breakups and dissolutions.

Earlier in his legal career, Mr. Gaynor represented numerous franchisors in connection with their franchise activities and franchise sales throughout the country. Prior to practicing law, Mr. Gaynor was a Certified Public Accountant (currently inactive) and has a strong understanding of corporate finance, domestic taxation and financial auditing.
