Shearman & Sterling Advises on Public Offering of Cheniere Energy

Shearman & Sterling represented Credit Suisse Securities (USA) LLC, Morgan Stanley & Co. LLC and RBC Capital Markets, LLC as underwriters of a public offering of 28,000,000 shares of Cheniere Energy, Inc. common stock. The Underwriters have the option to purchase up to 4,200,000 additional shares of common stock at any time within 30 days of the offering.

Cheniere is a Houston-based energy company primarily engaged in LNG-related businesses. It owns and operates the Sabine Pass LNG terminal in Louisiana through its 89.3% ownership interest in and management agreements with Cheniere Partners, L.P. (Cheniere Partners), which is a publicly traded partnership created in 2007. Cheniere also owns and operates the Creole Trail Pipeline, which interconnects the Sabine Pass LNG terminal with natural gas markets in North America. Cheniere Partners is developing a liquefaction project to add liquefaction capabilities at the Sabine Pass LNG terminal through a wholly owned subsidiary, Sabine Pass Liquefaction, LLC.
