Davis Polk – Tyson Foods, Inc. $1 Billion Senior Notes Offering and Concurrent Tender Offer

Davis Polk advised J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC and RBC Capital Markets, LLC as joint book-running managers and representatives of the several underwriters in connection with an SEC-registered offering of $1 billion aggregate principal amount of 4.5% senior notes due 2022 by Tyson Foods, Inc.

Davis Polk also advised Barclays Capital Inc., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Morgan Stanley & Co. LLC and RBC Capital Markets, LLC as dealer-managers for a concurrent cash tender offer by Tyson Foods, Inc. to purchase any and all of its outstanding 10.5% senior notes due 2014.
