Shearman & Sterling represented Credit Suisse Securities (USA) LLC as underwriter of a public offering of 21,000,000 shares of Cheniere Energy, Inc. common stock, with an over-allotment option of 3,150,000 exercised by the underwriter, for a total of 24,150,000 shares.
Cheniere is a Houston-based energy company primarily engaged in LNG-related businesses. It owns and operates the Sabine Pass LNG terminal in Louisiana through its 88.8% ownership interest in and management agreements with Cheniere Partners, L.P., which is a publicly traded partnership created in 2007. Cheniere also owns and operates the Creole Trail Pipeline, which interconnects the Sabine Pass LNG terminal with natural gas markets in North America. Cheniere Partners is developing a liquefaction project to add liquefaction capabilities at the Sabine Pass LNG terminal through a wholly-owned subsidiary, Sabine Pass Liquefaction, LLC.
