Stephen M. Fields Joins Dentons Corporate Group

Veteran corporate lawyer Stephen M. Fields joined Dentons today as a partner in the firm’s Corporate practice group. Fields focuses his practice on investment transactions on behalf of fund managers in leveraged buyouts, mezzanine investing and advising small business investment companies (SBICs) on their formation, licensing and investment transactions. He will be resident in the firm’s New York office.

“Steve’s background and deep experience is a natural complement to our corporate practice and our global client base,” said Mike McNamara, US managing partner of Dentons. “His acumen in advising funds and investment groups is a great fit with our already established corporate capabilities and we’re very pleased to have him on board.”

Fields has formed more than 50 private equity, mezzanine and venture capital funds in his career and has negotiated investments by numerous institutional investors, including business development companies, pension funds, insurance companies, banks, unions, endowments and family investment offices. In addition, he advises middle market funds that make minority, management and leveraged buyout investments.

Fields has a robust background and depth of experience representing SBICs and venture capital funds and has written extensively about both for legal industry publications. He has also advised the U.S. Small Business Administration’s Office of General Counsel on the structure of its Model Partnership Agreements. A popular speaker on SBIC issues, Fields has lectured at prominent business schools and doctoral programs as well as to corporate growth, venture capital and professional accounting audiences.

Fields earned his LLB from New York University School of Law and a BA from Brandeis University.
