Shearman & Sterling Advises on Kansas City Southern de México’s Notes Offering

Shearman & Sterling represented Merrill Lynch, Pierce, Fenner & Smith Incorporated as representative of J.P. Morgan Securities LLC, Scotia Capital (USA) Inc., Banco Bilbao Vizcaya Argentaria, S.A. and Morgan Stanley & Co. Incorporated, the placement agents, in connection with a private placement of 6.125% Senior Notes due 2021 by Kansas City Southern de México, S.A. de C.V. (KCSM) pursuant to Rule 144A and Regulation S.

The proceeds from the offering were used to fund the repurchase of two of KCSM’s outstanding series of senior notes. Shearman & Sterling also acted as counsel to Merrill Lynch, Pierce, Fenner & Smith Incorporated as dealer manager and solicitation agent in connection with the tender offers and related consent solicitations for such outstanding notes.
Kansas City Southern de México operates a primary rail line between Northeastern and Central Mexico and the United States.
